Reporting to the Associate Director, Corporate Services, the Corporate Search Clerk will work with clients, legal and administrative team members to support the legal entity management platform for searches. The Corporate Search Clerk will also enhance our service delivery model for corporate and financing transactions. Please note, this role can operate as a fully remote opportunity within Ontario, or hybrid working out of our Ottawa or Toronto offices. Major Responsibilities:

  • Collaborate with leading professionals at the Firm on various corporate and financing transactions
  • Conduct corporate due diligence searches across Canada including: Corporate Profile/History; PPSA; Insolvency (BIA/CCAA); Bank Act; Execution; Litigation; and Certificates of Status (or equivalent)
  • Ensure the collection of copies (regular or certified) of charter documents across Canada
  • Review and process vendor invoices for timely payment
  • Assist with and provide prompt responses to emails and other inquiries
  • Manage competing requests and meet search deadlines while protecting confidential and sensitive data in compliance with the Firm's security protocols
  • Assist with the implementation, maintenance and improvement of new technologies
  • Recommend process improvements plans for the team
  • Contribute to the continued design and improvement of our enhanced service delivery model for clients
  • Undertake projects and other responsibilities on an as-needed basis

Position Requirements Education and Experience This position requires a university degree or college diploma in a business or social science discipline or completion of a Law Clerk diploma. Experience with corporate searches in a professional services environment is an asset. An equivalent combination of education, training and experience may be acceptable. Knowledge And Skills
