Contract Specialist – Manager (IT & SaaS Contracts)6‑Month Contract | Hybrid | Toronto, ON
We are seeking an experienced Contract Specialist – Manager to support a large, highly regulated enterprise with IT and SaaS contract review and negotiation. This role is best suited for a contracts, legal, risk, or procurement professional who is a subject‑matter expert in IT contracting clauses—not full contract lifecycle management.
Contract Details
- Duration: 6 months (strong possibility of extension through Q4)
- Hours: Monday–Friday, 8:30 AM – 5:00 PM
- Location: Hybrid – 3 days onsite (Tuesday, Wednesday, Thursday) – Toronto, ON
- Pay Rate: $48/hour + 4% vacation pay

The Contract Specialist will review, assess, and negotiate IT vendor contracts to ensure appropriate regulatory, cybersecurity, and information security controls are embedded. This role focuses on interpreting and drafting IT and SaaS contractual clauses, applying regulatory requirements (particularly OSFI B‑10), and supporting internal stakeholders during contract negotiations and audits.
This is a fast‑paced role requiring strong judgment, negotiation capability, and the ability to clearly explain contractual and technical risks to both technical and non‑technical audiences.
Key Responsibilities
- Review and negotiate IT and SaaS contract clauses for new and existing vendor agreements
- Apply OSFI B‑10 regulatory requirements to contract language and vendor risk assessments
- Support audit reviews and ongoing third‑party risk initiatives
- Recommend appropriate contractual controls based on vendor services and data access
- Partner with Legal and Procurement on contract clauses, exceptions, and negotiation strategy
- Outline vendor risk and guide internal stakeholders
- Respond to contract‑related inquiries and manage multiple reviews concurrently
- Meet contract review SLAs (~3 weeks) for assessment and response
- Translate complex contractual, regulatory, and security concepts into clear business language
- Build strong relationships with cross‑functional teams and senior stakeholders
Required Experience & Skills
- 4–5+ years of experience reviewing and negotiating IT‑related third‑party contracts
- Deep knowledge of IT and SaaS contracting clauses (not full contract lifecycle management)
- Strong understanding of OSFI B‑10 requirements and how they apply to IT vendor contracts
- Candidates with transferable regulatory experience (e.g., B‑13, E‑21, OCC, or similar) will also be considered
- Experience working in a highly regulated environment
- Strong negotiation skills with the ability to manage objections
- Working knowledge of information security concepts (e.g., data flows, vulnerabilities, controls)
- Not required to be a cybersecurity expert
- Excellent communication, relationship management, and stakeholder engagement skills
Tools & Technology
- Exposure to tools such as Ivalua (procurement) and GRC Archer (risk/compliance) is an asset
- Tool‑specific experience is not mandatory — training will be provided
- First 1–2 months will focus on onboarding, risk framework understanding, and internal processes
Nice‑to‑Have Qualifications
- Legal background (law degree preferred but not required)
- Experience in risk, consulting, procurement, or other regulated industries
- Familiarity with frameworks such as NIST, ISO 27001, or similar
- Experience assessing vendor information security questionnaires
