Paralegal – Legal & Contracts
Coulson Capital is seeking a highly organized and detail-oriented Paralegal to join our legal team. This role will be based in Vancouver and will provide essential in-house legal support across a group of companies operating in Canada and the United States. The successful candidate will assist with contract management, corporate governance, legal research, and administrative support for corporate legal matters. The ideal candidate is experienced in corporate law and contract processes and has a proactive and collaborative approach to supporting legal operations.

Key Responsibilities:
- Contract Support: Assist with the drafting, formatting, and reviewing of contracts and other legal documents. Track contract status and ensure proper execution and filing.
- Corporate Governance: Support the preparation and maintenance of corporate records, including resolutions, meeting minutes, and organizational documents for entities in Canada and the U.S.
- Regulatory Filings: Prepare and file annual reports, business registrations, and other corporate filings to maintain compliance and good standing in applicable jurisdictions.
- Legal Research: Conduct legal and regulatory research as requested, summarizing findings to support business decisions.
- Document Management: Maintain and organize legal files and corporate records, ensuring accuracy, confidentiality, and accessibility.
- Liaison with External Counsel: Coordinate communications and document flow between internal teams and outside counsel. Assist in managing litigation files and legal invoices.
- Administrative Legal Support: Provide administrative support to the legal team, including calendar management, preparing reports, and assisting with budget tracking.
Qualifications:
- Experience: 3+ years of experience as a corporate paralegal, legal assistant, or similar role, preferably in a corporate or in-house setting.
- Education: Paralegal diploma or certification from an accredited program.
Skills:
- Strong knowledge of corporate legal procedures and legal document preparation
- Excellent attention to detail and organizational skills
- Strong written and verbal communication skills
- Ability to manage multiple tasks and meet deadlines in a dynamic environment
- Technical Proficiency: Proficient in Microsoft Office Suite (Word, Excel, PowerPoint); experience with document management systems is an asset.
